Need your opinion: Pwede pa bang umatras ang seller pag nagbayaran na?

may ino-offer na cocofarm sa amin, i got an interest sa farm kasi katabi lang ng farm na nabili ko 3 years ago. same land area but price is already doubled. 1.2M ang offer, gusto ko bilhin ng 1M lang. nag close ang deal last week ng june. pumayag ang seller na ibenta sa halagang 1.05M, binayaran agad ng mother-in-law ko at  binigay yung title ng land sa kanya. yung deed of sell kailangan pa daw mag sign yung anak na nasa ibang island and the seller (mother ata) promise na ipaLBC yung signed documents within a week. after 2 weeks, nag iba yung desisyon ng seller, hindi na daw pumayag yung anak, hindi na daw ituloy yung bentahan. pwede pa bang umatras yung seller eh nagbayaran na kami? waiting na lang kami para itransfer yung title. ang problema namin ngayon hindi pa namin maitransfer yung title kasi wala pa yung deed of sale.

nasa UAE pa kasi ako noon kaya hindi gaano maayos yung transaction. naiirita na yung mother-in-law ko, gusto nya na lang bitawan. isang problema pa, sinabihan kasi ng mother-in-law ko na payag na cya hindi na lang ituloy pero ibalik agad yung pera, sabi naman ng seller ibabalik daw nila ang pera pero sa december na. ano yon, sinanla lang? o gusto lang mangutang? sampahan ko kaya ng kaso itong seller na ito?  :bahalaka:  (anong kaso naman pwede ko isampa, wala akong gaanong alam sa mga laws :( )

Nautakan kayo.. Malamang yung pera nagamit na nila agad kaya ganyan. Pero ang mahirap eh bakit nagbigay agad ng pera. Dapat DOS meron agad

your 1.05M can give you a return if you place it in fixed income instruments (savings account even). sarap buhay nman sila if you'll allow them to return your money only by december. and even if it's sanla, they should still pay you an agreed interest. so get you money immediately as you are actually losing money while the amount is still with them.

This also happened to me a few times. This was how it happened the first time. I paid the down payment so they could start the paper work. Then one of the siblings objected to the sale such that it wouldn't proceed. I tried reasoning with them that because of the initial agreement, I was able to close another sale for the lot that is after their lot. If they would not honor our agreement, I would end up with two lots that are not contiguous and with the other lot without access. I told them to at least divide their lot and sell me the part that is in-between my two lots so I would continue to have access to my other lot. At first they would not let what I requested then they tried raising the price per sqm of the small portion, a price different from our original agreement. Then I made a veiled threat to sue and they relented. It was in the province and the sellers were not really strangers so I had to tread a delicate line to get a result that would work for both of us. It turned out okay as I was able to get a small part and made the shape of my lots better. After I had walls built 2 years ago, they again recently approached me to sell the remaining of the same lot but with 3x the price as 5 years ago when we had the original agreement. I don't need it anymore so I said no.

My experience with buying RE is mostly in the province so the rules may be are a bit different but in all my experience, I had to be patient with the sellers. In all the cases, we have the DOS signed at the same time I pay the final installment. In total of six contiguous lots from 5 different owners, all but the last one I paid a single down payment with a provisional contract (don't know what it's called), with the final payment to be done at the same time with the deed of sale, with TCT to follow. In all transactions, I used checques to pay for additional paper trail.

In the second instance, the sellers were the parents but before we could conclude the sale (after initial down payment and while the paper work was in progress), the husband died leaving his heirs party to the sale and the terms needed to be renegotiated as one of the heirs wouldn't sell at the original price. Eventually was able to reason with them and the deal went through. If it didn't push through it would have been difficult to collect back the down payment without incurring recovery costs. 

There was a 3rd case but it followed almost the same pattern. It was a case where the paper work didn't push through in time and seller was asking for additional money. I didn't give and had to remind seller to follow the document we signed stipulating the terms where the price was all-in.

Like you, I work and stay abroad so I didn't have time for the paper work. All cases were done while I was away except during the initial agreements and initial payments where we sign the initial agreements.

Any transaction should be done in a simplest possible way, if it gets complicated and you still want to continue with the deal then you're asking for trouble.

Sir INDO, nasa Pilipinas ka pa ba? Sana makuha nyo na pera nyo agad. Mukhang sinamantala nung taong yun yung pagiging OFW nyo at the same time nanay nyo ang ka-transact nya.

Give a notice to them with a lawyer, kahit galing lang sa PAO, if di pa rin sila nag comply you can sue them na, part na nila ang may kakulangan diyan, tiyak kikilos sila if malaman nilang ganyan.

Problema nga yan, dapat DOS muna before release of huge amount of money, sana earnest money lang muna (downpayment) while the papers is being process. Pwede nga hingi ng advice sa abogado.

i would not give any money at all to buy a property with multiple owners. kung kailangan ng anak na pumirma, obviously nanduon yung pangalan nya sa title. kung wala, yung anak need not sign. unless mayroon pang ibang complication sa ownership such as inherited property pala yun. if that is the case, i would not even think about buying that.

be that as it may, kung multiple owners lang nakalagay sa title, still, before giving any earnest money or down payment, i'll make it sure that a deed of sale is in order first, having all the owners sign.

sa situation na eto, suing the "seller" demanding the money back is malabo. instead na makuha mo yung pera by december, baka abutin ka nyan ng taun. they can always file for a title reconstruction. so, what happens sa title na hawak mo na hindi naman sa pangalan mo - no notation of encumbrance at all by the register of deeds.

i suggest, mag usap usap na lang kayo under mediation with the barrio captain. and see if you can ask the register of deeds to put a lien on the title. good luck.

Pwede bang umatras...yes..pwede pa sila umatras..since wala pa naman contract.
Dapat ba sila umatras, they should not, since nakatanggap na sila ng pera..moreover, na full payment na sila (right?).

What can they do now? return all or as much money as they can as soon as possible.
If they cannot, they should consumate the deal.

The term is now on your hands. since you have fully paid them already, they have no excuse why not to consumate the deal.

I do hope you have all the papers. or document to say that you have paid a sum of money in exchange of the lot.

I think this will be a costly (financial and emotional) learning experience for you.

sorry if yung statement ko nung una medyo hindi malinaw, update ko lang yung sitwasyon:

1. yung seller ng farm is not the original owner, nabili nya lang yung farm long time ago at hindi pa natransfer sa pangalan nya yung title ng farm.
2. may deed of sale yung mother-in-law ko sa seller
3. since hindi pa natransfer sa name ng seller yung title ng farm, ang plan is gagawa kami ng deed of sell sa original owner at nag volunteer yung seller na sya na mag-asikaso magpa sign ng deed of sale sa original owner
4. yung anak ng seller hindi pala pumayag sa 1.05M na price, kaya hindi inasikaso ng seller na magpa sign ng deed of sale sa original owner
5. gusto ng seller na magdagdag kami ng pera para maibalik sa original na price na 1.2M, nakikiusap lang daw naman. pero umayaw na kami. 1.05M final na para sa amin.
6. walang nagawa yung seller kundi umiyak. dahil sa hindi na talaga kami pumayag, wala na daw cya magagawa and she promise na aasikasuhin yung deed of sale na mapirmahan ng original owner
7. until now hindi pa dumating yung documents.

i'm planning to go home by september, if wala pa rin yung documents, puntahan ko na lang yung original owner at gagawa ng deed of sale sa kanya, pwede naman siguro kahit hindi na involve yung seller, ipapakita ko na lang yung deed of sale na ginagawa nila ng mother-in law ko, katunayan na naibenta na sa amin yung farm.

salamat sa further comments nyo about sa sitwasyon. by the way, hindi gaano mapagkatiwalaan itong seller na ito kasi until now she keep on sending messages na magdagdag pa kami para daw ipamana nya sa mga anak nya yung perang idagdag namin... parang sirang plaka, paulit ulit :(

Nakita nyo man lang ba yung title before you paid? Isa lang ang obligation ng buyer ng real property, and that is to check the title with the Register of Deeds. Kung buyer ka kasi, bibili ka ba ng  property na wala sa pangalan ng seller?

Kung wala pa sa name ng seller ung title, technically hindi sya ang may-ari ng prop, so wala syang karapatan ibenta ito. Kaya dapat talaga mapalipat nyo na ung title sa name ni seller then to you. You'd be lucky kung hindi ka pahirapan nung original owner at pumayag outright sa deed of sale. Pwede nya kasing ideny na nagkabentahan, ano proof nitong new seller na binenta nga sa kanya kung hindi naman nalipat yung title sa kanya? I highly doubt na aasikasuhin nga ni seller yung deed of sale with the original owner, baka nagvolunteer lang sya para hindi kayo makapag-usap ng direcho with the orig seller, mukhang may itinatago pa syang relevant facts. Nakausap mo ba yung anak? Baka rin hindi totoo hindi pumayag ung anak dahil in the first place hindi naman sa kanila yun.

I think kung hindi pumayag si anak (he has real interest in the property being an heir), he can always question the validity of the sale anytime, kahit mapalipat mo pa sa name mo yung title. Best case scenario and assuming kanila nga yung property, yung portion nya sa property hindi kasama sa maibebenta sayo.

Malamang nga nangutang lang yan ng sapilitan or through fraud. Mahabang panahon bago mo mabawi ang pera mo kung hindi ka magffile ng case.
