Title: What Happens to Stocks When Companies Merge?

Mga sir gusto ko lang sana malaman anu mangyayari sa stocks ng dalawang company pag nagmerge.

halimbawa, ung stock ng LRI (Lafarge) at HLCM (Holcim) pag natuloy ung merge nila

^ IIRc you're typically offered the chance to switch shares with the new company (assuming the merged company survives the merger) OR the broker automatically does it for you.

someone please correct me if I'm wrong.

Naabutan ko ang pagbili ng PLDT (TEL) sa Digitel (DGTL) aka Sun Cellular.
Ang ginawa ni MVP ay dinelist nya DGTL (Meaning inalis sa stock market).
Pero siyempre binigyan muna ng time ang mga stockholders na ibenta ang shares nila.
Me option binigay sa mga DGTL stock holders, either sell their DGTL shares of trade it with PLDT shares.
Yung trade me criteria, d ko na tanda kung ilang DGTL shares para sa isang TEL shares.

In my case hindi ko binenta DGTL shares ko.
Wala na DGTL sa PSE, pero shareholder pa din ako.

Same thing ba nangyari sa SMDC SMPH?

Di ko nasundaan, pero parang na convert to SMPH shares?

You need to distinguish between merger (Co. A + Co. B = Co. C) and acquisition = (Co. A + Co. B = Co. A). If LRI-HLCM happens, I think one will survive (one has greater equity= acquirer).

In merger, both the stocks of A and B will be replaced through your broker to change it from A to C, or from B to C as the case may be.

In acquisition, Co. B’s stock will be swapped with the surviving entity’s stock (A) through your broker,

Tanong lang po, ano kaya ang mangyayari sa COAT shares ko kung matuloy ang pagbili ng DNLng buong COAT?

COAT shares pa din yan.  Unless mag decide ang DNL na i-fully absorb.

Digitel pa din po kulatir.
Every year I still receive reports for DGTL.
I also got a dividend last year, about 0.20 pesos per share.
I hope I can get one this year too.

Ganun? So you gain income lang sa dividend? Because, well correct me if I'm wrong, di na nagtumataas ang presyo ng stock na yan. Or even if gusto mong ibenta, wala naman sigurong bibili?

You can still sell it on "other" market, though I'm not familiar with it and haven't tried it.
The price still depends on the demand on the "other" market.
OTC ba tawag dun?  Experts feel free to comment.

I don't know.  I didn't compute. During the merger, DGTL doesn't give dividends.  It only started last year.
PLDT at its current price now gives about 3%-5% dividends.
If my DGLT will continue to give the same amount, the dividend would be higher than PLDT.

I don't know.  I didn't compute. During the merger, DGTL doesn't give dividends.  It only started last year.
PLDT at its current price now gives about 3%-5% dividends.
If my DGLT will continue to give the same amount, the dividend would be higher than PLDT.

How about price appreciation?

This sound very interesting- may shares din ako with LRI.
Nice to observe what we'll happen in the few months or weeks from now re this merger thing and the like.
