Pag si KAP ay na delist sa stock exchange, WALANG MAWAWALA SA PERA NIYA.  ang disadvantage lang ng delisting ay dadaan ka uli sa umpisang proseso sa pagkuha ng kapital sa stock market kung ayaw mo ng corporate debt papers.

Paano naman ang ang minority shareholders at mga speculators?  maiipit ang kanilang pera kasi mahirap magbenta ng shares kung hindi siya listed sa stock exchange dahil mahirap malaman ang tamang market price.

Yan naman ay 'worst case scenario'.

Ngayon, ang malaking tanong,  Bago ba sumapit ang december 2012 deadline to meet the 10% minimum stock float ay MAGANDA ang takbo ng stock market?

If yes ang sagot, magbebenta si KAP ng shares niya dahil MAGANDA ang price ng shares.

If no ang sagot, Si KAP, na isang tusong negosyante, ay papayag ba na magbenta ng shares niya kung hindi niya gusto ang presyo?

Are we seeing a healty correction for TDY for now? It declined today but the selling wasn't supported by a big volume. I think players are just watching this stock today and most sellers are just trying to lock some profit.

this is more on FA. Kulang pa ako sa kaalaman when it comes to FA. Lets wait baka meron mag share ng kanilang idea regarding this.

Lucio Tan holding firm to sell shares in Tanduay

MANILA - Tanduay Holdings Inc. has obtained board approval to undertake an international equity placement.

In a statement, Tanduay, which will be renamed to LT Group Inc., said majority shareholder Tangent Holdings will sell up to 3 billion shares to institutional investors at price to be determined at the end of a book-building exercise.

Tangent will use the proceeds from the placing tranche to subscribe to the same number of new shares of Tanduay in an amount not exceeding the number of shares sold during the placing tranche at a subscription price equivalent to the placing price.......

Tanduay earlier directed management to study and recommend measures to comply with the 10 percent minimum public float requirement of the local bourse with the listed liquor maker set to become the holding firm for the businesses of tycoon Lucio Tan.

However, he said that Tanduay got some leeway to issue as much as 5 billion in new shares, which meant that there could be further dilution if the company were to issue more shares.
 
Given the reported P200 billion valuation of assets to be pooled into Tanduay and maximum of P60 billion in total debts to be assumed, Lacson earlier estimated that this could value the future Lucio Tan conglomerate at around P16 per share.

thank you sir for your warnings but i cannot fully grasp what you are trying to say...sorry for being a newbie, i'm having difficulty reading between your lines ...can you be more specific what you mean by "be extra careful"? are you suggesting that we stay away from buying this stock or wait till consolidation is finalized or wait till the float is higher then 10% or this is not good for long term investment or what?  please enlighten us..

I'm also a newbie, i think what they trying to say is that when this conglomerate issue "new" billions of shares the price of it will be afftected thus will result to lesser price.

Dilution may happen IF for example a company issued additional shares of stock through stock options.  Example Company A issued additional 100000 shares of stocks (via stock option) @ discounted rate (usually much lower than the prevailing market price). If you opted not to avail the stock option, dilution will take place since the total outstanding shares issued in the public has increased. In the other hand,  your controlling interest will decrease due to failure of availing the stock option. Usually, the controlling interest is at stake here if the owners/holders were not given the right to purchase the additional stocks or if the investor opted not to avail the stock option plan. In the case of Tandualy Holdings, since 3 billion shares will be offered to international market (not the public) therefore dillution of shares will take place. No figures yet were given aside from the total no. of shares to be issued to the institutional investors (I'm referring to the price/share) but most probably, El Kapitan will sell it at a discounted rate (lower than the prevailing market price). At what amount? That's the missing link.

i am just telling anyone interested in this stock to STUDY IT CAREFULLY.  Conduct a DUE DILIGENCE.  kapag bumibili ka ba ng gusto mong damit at gadgets, di ba maingat ka mag check kung ito ay matibay, maganda, walang gasgas o damage, may warranty, service repair just in case?

Hindi nyo ba napapansin, pakonti konti ang labas ng balita tungkol sa TDY?

1. una, consolidation of all companies ni LT under sa TDY.  maganda ito in general.

2. appointment ng kanyang chosen successor.  Hindi natin alam kung maganda o hindi kasi hindi pa kilala at subok ang napili nya sa pagpapatakbo ng kumpanya. paalala, ang kanyang chosen successor ay galing sa second family at hindi sa first family.

3. magdadagdag ng stock shares ang TDY.  Ibig sabihin may dilution sa existing shares.  Generally, hindi ito maganda kasi, dadami ang number of shares na maghahati sa income ng isang company so profit per share price ay bababa.  Bukod dito, ang dating stockholder na halimbawa may 1% ownership BEFORE the dilution, ay kailangan bumili ng additional shares (maglalabas siya ng dagdag na pera) kung hindi siya bibili, bababa ang ownership level niya sa TDY.
